Who we are
“Noxera Research Labs”, “Noxera”, “we” and “us” refer to the sole trader operating under that trading name. Noxera is not currently an incorporated company. Contact is by email at noxera.research.labs@gmail.com, and a postal address for formal correspondence is available on written request.
1. Acceptance
By accessing this website or submitting an inquiry you agree to these terms, to our privacy policy and, critically, to our research use disclaimer. If you do not agree, do not use this site.
2. Eligibility
You represent and warrant that you:
- are at least 21 years old and able to form a binding contract;
- are a qualified researcher or acting for a research institution, laboratory or comparable organisation;
- will use materials supplied strictly for laboratory research; and
- will comply with all laws and institutional rules applicable to you.
3. Research use only
All materials are supplied for laboratory research use only. They are not drugs, foods, cosmetics or medical devices, and are not for human or veterinary consumption. We publish no preparation, dosing or administration guidance. The research use disclaimer forms part of these terms and prevails over anything inconsistent elsewhere on the site.
4. Inquiries, quotes and orders
- Submitting an inquiry is an invitation to treat, not an order, and creates no contract.
- Our written quote is an offer, valid for 14 days unless stated otherwise.
- A contract forms only when you accept a quote in writing and we confirm acceptance.
- We may decline or cancel any inquiry or order, at any point before dispatch, without giving reasons.
5. Pricing and payment
- Prices shown are in US dollars and exclude shipping and any applicable taxes.
- Prices may change without notice; the price on your written quote is the one that binds us.
- No payment is processed through this website. Payment is arranged separately once you accept a quote.
- Where a listed price is obviously erroneous we may cancel and refund rather than supply at that price.
6. Delivery, title and risk
Delivery terms are set out in our shipping policy. Delivery dates are estimates and time is not of the essence. Title and risk pass to you on delivery to the confirmed address.
7. Returns
Returns and refunds are governed by our refund policy. Delivered material cannot be returned once it has left our control, for the traceability reasons set out there.
8. Specification and no warranty of fitness
Materials are supplied to the specification published on the relevant product page and to no other standard. Except for that express specification, and to the fullest extent permitted by law, all warranties, conditions and terms implied by statute or common law are excluded — including any implied warranty of merchantability or fitness for a particular purpose. You are responsible for satisfying yourself that a material is suitable for your intended research.
9. Limitation of liability
To the fullest extent permitted by law, Noxera Research Labs shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data or research output, however arising. Our total aggregate liability in connection with any order shall not exceed the amount you paid for the material giving rise to the claim.
Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded.
10. Indemnity
You agree to indemnify and hold harmless Noxera Research Labs, its officers and staff against claims, losses and costs arising from your breach of these terms, your misuse of materials supplied, or any administration of those materials to a human or animal.
11. Intellectual property
The Noxera name, emblem, product photography, catalogue copy and site design are our property and may not be reproduced without written permission. Referral partners may use approved assets only while their code is active, on the terms of our referral programme.
12. Acceptable use
You may not scrape, mirror or resell content from this site, attempt to breach its security, or misrepresent your identity, organisation or research purpose when submitting an inquiry.
13. Changes
We may update these terms; the revision date is shown alongside this page. The terms in force when your quote was issued govern that order.
14. Severability and entire agreement
If any provision is held unenforceable, the remainder stands. These terms, together with the quote you accepted and the policies referenced here, form the entire agreement between us.
